These Terms & Conditions (“Terms”) govern all access to and use of the CoreAIVideo platform and associated creative services provided by:

By using CoreAIVideo or by creating an account, you (“User” or “Customer”) agree to these Terms.

SECTION 1 — GENERAL PROVISIONS

(Applies to both B2B and B2C customers)

1.1 Scope

These Terms apply to:

• the CoreAIVideo platform (SaaS), including credit-based usage
• AI-generated content
• Done-For-You video creation services
• all related digital content, media assets, and features

Customers may be:

• Consumers (B2C) under §13 BGB
• Businesses (B2B) under §14 BGB

Consumer protection rules apply only to B2C customers.

1.2 Hybrid Service Model

CoreAIVideo provides:

1. Self-Service SaaS Platform (AI tools for generating videos, images, scripts, etc.)
2. Done-For-You Creative Services (CoreAIVideo team prepares video content for the customer)

Both services are governed by these Terms unless otherwise agreed in writing.

SECTION 2 — CONTRACT FORMATION

2.1 Sign-Up and Account Creation

The customer creates an account via:

• email address
• Google Single Sign-On (subject to Google’s terms)

By completing registration, the customer submits an offer to conclude a contract (§145 BGB).

2.2 Acceptance by CoreAIVideo

The contract becomes effective when:

• CoreAIVideo activates the account
• credits are allocated
• the customer receives confirmation by email

2.3 Credits

• Credits represent units that can be exchanged for platform functionality (video generation, rendering, processing, etc.).
• Credits are valid until used or until the credit system is discontinued with reasonable notice.
• Credits must be purchased in advance.
• Each credit purchase is a completed digital service transaction.

Additional credits may be purchased at any time.

SECTION 3 — SERVICES PROVIDED

3.1 SaaS Platform

CoreAIVideo provides access to its platform via the internet on a non-exclusive basis.

3.2 Done-For-You Creative Services

Where ordered, CoreAIVideo:

• creates videos, images, or other content
• based on customer briefs and submissions
• delivers drafts and final versions digitally

Unless agreed otherwise, corrections and revisions are limited.

3.3 No Guarantee of Availability

CoreAIVideo does not guarantee uninterrupted service. Downtime may occur due to:

• maintenance
• technical failures
• system overload
• failures of third-party AI model providers
• outages of cloud infrastructure

3.4 No Responsibility for Missed Marketing Deadlines

CoreAIVideo is not liable for:

• loss of reach, followers, revenue, or engagement
• marketing campaign delays
• reduced performance of social media accounts

caused by downtime, delays in generation, or technical issues.

CoreAIVideo does not guarantee that all functionalities listed in the Service Description can be provided where the Services are made available.
Certain data processing or content generation may involve transfers to non-European countries through integrated third-party model providers.

3.5 Modifications

CoreAIVideo may update, modify, or discontinue features at its discretion for technical, operational, or legal reasons.

SECTION 4 — USER OBLIGATIONS

Customers must:

• provide accurate registration information
• maintain confidentiality of login credentials
• comply with applicable laws
• refrain from uploading harmful or unlawful content
• make regular backups of their own data
• maintain a stable and secure internet connection

Prohibited content includes (non-exhaustive list):

• hate speech, racism, extremism
• illegal, harmful, or defamatory material
• content violating copyrights or trademarks
• pornographic or obscene content
• malware, harmful code, or automated scraping activity

CoreAIVideo may block accounts that violate these Terms.

SECTION 5 — RIGHTS OF USE & INTELLECTUAL PROPERTY

5.1 Customer Ownership of Input and Output

• The customer retains all rights to Input (materials provided by the customer).
• The customer receives all assignable rights to Output (AI-generated or processed content).
• Output may not be unique. Other users may receive similar results.

5.2 Platform IP

All software, templates, designs, and system components remain the intellectual property of CoreAIVideo. The customer receives only a non-transferable, non-sublicensable usage right. The customer may not reproduce, decompile, reverse engineer, or extract source code except where required by mandatory law.

Rights Assignment: As between the parties, the customer retains ownership of Inputs and Outputs. CoreAIVideo assigns to the customer all rights, title, and interest it may have in the Output.

5.3 AI Training

CoreAIVideo processes customer data (Inputs and Outputs) in accordance with data protection laws and its Privacy Policy:

Third-party AI providers process data under their own terms.

SECTION 6 — PRICES AND PAYMENT

6.1 Pricing

Prices and credit packages are displayed at:
https://www.coreaivideo.com/#pricing

B2C customers see VAT-inclusive prices.

6.2 Payment

Payment is due in advance via Stripe or other offered methods.

6.3 Failed Payments

CoreAIVideo may suspend access until payment issues are resolved.

SECTION 7 — WARRANTY & OUTPUT QUALITY

7.1 AI Output Disclaimer

Because AI systems are probabilistic, CoreAIVideo does not guarantee that content:

• is accurate
• is legally compliant
• fits a particular purpose
• is unique
• is free of third-party rights

The customer must review output before publication.

7.2 No Legal or Professional Advice

Generated content does not constitute:

• legal advice
• financial advice
• marketing guarantees
• professional consulting

SECTION 8 — LIABILITY

8.1 Core Liability

CoreAIVideo is liable only for:

• intent or gross negligence
• injury to life, body, or health
• product liability (ProdHaftG)

8.2 Limited Liability

In all other cases, liability is limited to:

• breach of essential contractual obligations
• foreseeable damages typical for this type of contract

8.3 Exclusions of Liability

CoreAIVideo is not liable for:

• consequential damages
• loss of profits, revenue, or business
• losses resulting from missed publishing deadlines
• downtime or delays
• failures of third-party AI providers
• inaccurate, offensive, or infringing AI output
• loss of data due to missing customer backups

These exclusions apply to both SaaS services and Done-For-You services.

SECTION 9 — CONSUMER (B2C) INFORMATION REQUIREMENTS

9.1 Right of Withdrawal

Consumers have a 14-day withdrawal right unless waived.

9.2 Digital Content Waiver

The withdrawal right expires once:

• the consumer checks the consent box, and
• CoreAIVideo begins execution of the digital service

9.3 Model Withdrawal Form

(Provided at the end of these Terms if required by law.)

SECTION 10 — TERMINATION

• Customers may delete their account at any time.
• No refunds for unused credits unless required by law.
• CoreAIVideo may terminate for material breach or technical impossibility.

SECTION 11 — CONFIDENTIALITY

Both parties must keep confidential information secret and protect it from unauthorized access, unless disclosure is legally required.

SECTION 12 — AMENDMENTS

CoreAIVideo may update these Terms with notice.

If CoreAIVideo amends these Terms of Use or the Service Description, it will notify the customer by email or via in-platform notification at least 30 days before the effective date.

The notice will include:

• the effective date of the change
• the applicable objection period
• the consequences of not objecting

SECTION 13 — GOVERNING LAW & JURISDICTION

These Terms are governed by German law.

If legally permissible, the exclusive place of jurisdiction is Darmstadt, Germany.

SECTION 14 — MISCELLANEOUS

The parties may transfer rights and obligations under this Agreement only with prior written consent of the other party.

However, CoreAIVideo may transfer the Agreement, in whole or in part, to an affiliated entity within the Outsourcing4work GmbH group without the customer’s consent, provided that this does not materially impair the customer’s rights.
