PLEASE READ THIS AFFILIATE PROGRAM AGREEMENT CAREFULLY.

This is a contract between you (the “Affiliate”) and CoreAIVideo operated under Outsourcing4work GmbH, Breslauer Str. 1a, 64521 Groß-Gerau Germany (“CoreAIVideo” or “us”). It describes the terms and conditions of your participation in our Affiliate Program (the “Affiliate Program”). By joining our Affiliate Program, you agree to be bound by these terms and conditions.

1. Definitions

Affiliate Program: The program described in this Agreement.

Affiliate Lead: A customer prospect who clicks on an Affiliate Link provided by CoreAIVideo.

Affiliate Link: A unique tracking link assigned to each Affiliate to promote CoreAIVideo services.

Commission: The 20% commission paid to Affiliates for each eligible purchase made through their Affiliate Link.

Customer: A user who purchases CoreAIVideo products after clicking on an Affiliate Link.

Customer Transaction: A purchase made by a customer that qualifies for a commission.

CoreAIVideo Products: AI video services and products offered by CoreAIVideo.

We, Us, Our: CoreAIVideo.

You, Your, Affiliate: The participant in the Affiliate Program.

Party, Parties: Refers to either the Affiliate or CoreAIVideo when used in singular form and to both the Affiliate and CoreAIVideo when used in plural form.

Third-Party: Refers to any natural or legal entity other than the Affiliate and CoreAIVideo.

Plan, Package, Subscription: Terms used interchangeably to refer to CoreAIVideo's paid plans, including Standard Packages and Hybrid Managed Service Packages.

2. Overview of the Affiliate Program

2.1 CoreAIVideo offers affiliates the opportunity to earn a 20% commission on qualifying purchases made by users referred through the affiliate’s unique referral link.

2.2 Affiliates earn commission for one full year starting from the referred user’s initial purchase date. Any purchase, renewal, or upgrade made by that user within the 12-month period qualifies for commission.

If a user unsubscribes before completing one year, the affiliate will stop receiving commission. If that user subscribes again within the same 12-month duration, no additional commission will be paid.

2.3 Participation in the Affiliate Program is subject to compliance with German laws, including the General Data Protection Regulation (GDPR).

3. Registration

3.1 To join the program, affiliates must complete the registration form provided by CoreAIVideo and accept these terms.

3.2 CoreAIVideo reserves the right to approve or reject any application at its sole discretion without providing reasons.

3.3 You understand and agree that CoreAIVideo retains sole and exclusive discretion to determine whether You qualify for participation in CoreAIVideo’s Affiliate program. Not everyone who applies for CoreAIVideo’s Affiliate program will qualify to participate.

3.4 Once approved, affiliates can customize their referral link to share with potential customers.

4. Consent to be Contacted:

You expressly consent to be contacted at the email address you provide about your application and the Program, including through texts and artificial or pre-recorded messages or emails.

You may withdraw this consent at any time by notifying CoreAIVideo in writing or via email. Upon withdrawal, we will stop sending you marketing communications, but we may continue to send notices, billing, or other messages necessary for this Agreement. We will confirm your withdrawal promptly.

5. Eligibility

By applying to join the CoreAIVideo Affiliate Program, you confirm that you are at least 18 years of age and that:

You have full legal capacity to enter into a binding agreement.

You will provide true, accurate, current, and complete information where requested, ensuring all details align with the terms of this agreement.

You will comply with all applicable laws and the terms outlined in this program. If applying on behalf of a legal entity, you further confirm that:

You are authorized to accept the terms of this Agreement on behalf of that entity.

You have the legal capacity to bind the entity to this Agreement.

The entity has full legal power to enter into this agreement and fulfill the obligations defined herein.

6. Commission and Payment

6.1 Commission Rate:

Affiliates earn a 20% commission on the net amount (without VAT) of qualifying purchases.

6.2 Plans:

We offer 2 main Packages:

Standard Packages: Starter, Creator, Professional, and Enterprise.

Hybrid Managed Service Packages: Starter Hybrid, Creator Hybrid and Professional Hybrid.

6.3 Payment Method:

Payments are processed via Stripe to the email address provided by the affiliate.

Affiliates must provide accurate and complete payment details to avoid payment delays.

6.4 Payment Schedule:

Payments will be made monthly, provided the minimum threshold of $100 (without VAT) is reached.

6.5 Tax Compliance:

Affiliates are responsible for any taxes due on their earnings.

Affiliates based in Germany and the EU must provide a valid VAT ID (if applicable).

6.7 Commission Eligibility:

You will have the opportunity to receive a commission for each sale (“Sale”) that is registered using your Affiliate link.

If a prospect has multiple affiliate cookies (“Cookies”), the most recently-acquired Cookie will determine which Affiliate is credited with a Sale.

6.8 Commission Tracking and Cookie Duration

The Affiliate Program uses cookies and tracking technologies to attribute referred sales correctly. The cookie duration is 60 days.

If a customer clears their cookies, CoreAIVideo is not responsible for tracking lost commissions.

6.9 Commission Discretion:

Notwithstanding anything to the contrary set forth herein, whether or not a commission is payable under the Program is in CoreAIVideo’s sole and exclusive discretion.

If an affiliate disputes a withheld commission, they may request a review within 30 days of the commission being denied. CoreAIVideo will evaluate the claim and respond within 30 business days.

6.10 Sold Plan and Payment Timing:

Provided that the Sold Plan (as defined hereinafter) remains in good standing within sixty (60) days from the Sale and subject to the requirements below regarding non-commissionable sales, you will be paid a commission as set forth hereinafter (“Commission”).

Commissions are paid only for transactions that actually occur between CoreAIVideo and a Sale in which payment is received by CoreAIVideo within a month of the date that the transaction that qualifies as a paid plan, in CoreAIVideo’s sole discretion, occurs (each, a “Sold Plan”).

6.11 Payment Processing:

Commission payments will be made only after the 60 business days holding period has passed following the date CoreAIVideo receives a relevant payment for a Sold Plan, subject to the other terms of this Agreement.

Payments will be processed monthly within 7 - 15 days at the start of the following month if your payment reaches a threshold.

All Commission payments are based on the amount actually received by CoreAIVideo, less applicable taxes.

Commission payments are only made to the extent that CoreAIVideo actually receives and retains revenue.

Payments will be made gross or net of VAT, depending on the Affiliate's tax status.

If a Customer refunds their purchase, any related commission will be deducted from the Affiliate’s balance.

6.12 Non-Commissionable Behavior

Affiliates will not be paid any Commissions for payments made on Affiliate’s own purchased packages.

Affiliates are not permitted to purchase CoreAIVideo packages under the name of another person or entity, under a fictitious name, or under any name merely for the purpose of obtaining Commissions.

Affiliates may not pay for another person’s or entity’s package.

Commissions will not be paid for self-referrals or fraudulent transactions.

If payment for a package later results in a refund or chargeback, and if a Commission was paid to you for that package, then the Commission will be deducted from your future Commissions.

If you are running search ads on a search engine, you must set negative keywords for “CoreAIVideo”, “CoreAIVideo.com”, “www.coreaivideo.com”, “CoreAIVideocom”, “coreaivideo com”, and any variations thereof.

If it is found that the traffic sent to the CoreAIVideo website is bot traffic or malicious in behavior, the Affiliate will be in violation of this agreement and commissions will NOT be paid. The Affiliate’s Account will be banned, making it no longer possible for the Affiliate to track referrals and receive commissions.

This traffic is recognized by server errors or high traffic with extremely low conversion rates, often sent from bad ad networks or purchased email lists.

If CoreAIVideo determines, in its sole and exclusive discretion, that any Sale was procured fraudulently or as a result of any violation of this Agreement or applicable law, no Commission will be paid for such Sale.

If a fraudulent transaction is identified while the affiliate account remains active, CoreAIVideo reserves the right to deduct the related commission from the affiliate's future commissions. If the affiliate account is terminated due to a breach, all unpaid commissions will be forfeited in accordance with Section 13.1, and no further payments will be made.

Affiliates may not make use of fake content reviews to generate content about CoreAIVideo to promote it.

Affiliates shall comply with all applicable regulations and guidelines from relevant governmental authorities.

7. Affiliate Responsibilities

7.1 Affiliates agree to:

Promote CoreAIVideo ethically and legally.

Clearly disclose their affiliate relationship as per EU consumer protection laws (UWG – Gesetz gegen den unlauteren Wettbewerb).

Not engage in spamming, fake advertising, or misrepresentation of our services.

Not bid on CoreAIVideo brand keywords in paid ads.

Not engage in self-referrals or fraudulent activities.

Not Infringe on third-party intellectual property rights.

Offer unauthorized incentives to customers.

Violation of these obligations may result in immediate termination from the Affiliate Program and forfeiture of unpaid commissions.

8. Acceptable Use Policy

8.1 Affiliate Conduct:

During the term of this Agreement, the Affiliate must comply with all applicable laws and regulations.

The Affiliate must not engage in any misleading, deceptive, or unethical advertising.

8.2 Prohibited Activities:

The Affiliate shall not, under any circumstances:

Send or otherwise post unauthorized commercial communications (such as spam).

Use misleading advertising, including false claims, deceptive links, or other unethical practices.

Post, transmit, or use content that is illegal, hateful, obscene, threatening, incites violence, defamatory, or infringes intellectual property rights.

Fail to properly disclose their affiliate relationship with CoreAIVideo to customers.

Refer themselves or conduct fraudulent transactions to earn commissions.

8.3 Keyword and Trademark Restrictions:

Affiliates may not bid on, purchase, or use CoreAIVideo’s trademarks, brand names, or variations thereof in paid advertising, including search engines like Google or Bing. If it is found that a sale came from paid traffic on any search engines (e.g., Google or Bing) or any other related search engine formats targeting CoreAIVideo’s branded and trademarked keywords, the Affiliate will be in violation of this agreement and commissions will NOT be paid. The Affiliate’s Account will be banned, making it no longer possible for the Affiliate to track referrals and receive commissions.

The Affiliate’s domain name may not contain the word ‘CoreAIVideo’ or any similar variations.

The Affiliate’s website may not use misleading terms such as ‘official website’ to create confusion.

8.4 Consequences of Violation:

Any breach of this Acceptable Use Policy may result in immediate termination of the Affiliate’s participation in the program.

Affiliates found in violation will forfeit any earned commissions and may be required to return commissions previously paid by CoreAIVideo.

8.5 Affiliate Disclosure Requirement:

Affiliates must clearly disclose their relationship with CoreAIVideo in all marketing materials, in compliance with applicable legal regulations.

Affiliates are responsible for ensuring compliance with local laws related to affiliate disclosures.

9. Data Protection & GDPR Compliance

CoreAIVideo complies with the General Data Protection Regulation (GDPR).

Personal data of Affiliates and Customers will be collected and processed as per our Privacy Policy.

9.1 Collected Data:

CoreAIVideo collects name, contact details, payment information, and any relevant data necessary for tracking commissions and communication.

9.2 Purpose:

Affiliate personal data is used solely for tracking commissions, payments, and communication regarding your participation.

9.3 Legal Basis:

Data processing is based on Article 6(1)(b) GDPR (contract performance) and Article 6(1)(f) GDPR (legitimate interests).

9.4 Data Sharing:

Data may be shared with third parties only when necessary for payment processing, fraud prevention, security measures, or when legally required.

9.5 Cookies:

As part of our commitment to data privacy and security, we ensure:

Affiliates and website users are informed about the use of cookies.

Cookies are placed only with proper consent, where required by law.

9.6 User Rights

Under GDPR, you have the right to:

Access your personal data (Article 15 GDPR).

Rectify inaccurate or outdated information (Article 16 GDPR).

Request deletion of your data (Article 17 GDPR), subject to legal retention obligations.

Object to data processing (Article 21 GDPR).

Request data portability (Article 20 GDPR).

10. Confidentiality

This Section applies without limiting any other obligations of confidentiality as may exist between the Parties.

As used herein, “Confidential Information” means all confidential information disclosed by a party ("Disclosing Party") to the other party (“Receiving Party”),

(i) whether orally or in writing, that is designated as confidential, and

(ii) CoreAIVideo customer and prospect information, whether or not otherwise designated as confidential.

Confidential Information does not include any information that:

(i) is or becomes generally known to the public without breach of any obligation owed to the Disclosing Party or

(ii) was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any obligation owed to the Disclosing Party.

The Receiving Party shall:

(i) protect the confidentiality of the Confidential Information of the Disclosing Party using the same degree of care that it uses with its own confidential information, but in no event less than reasonable care,

(ii) not use any Confidential Information of the Disclosing Party for any purpose outside the scope of this Agreement,

(iii) not disclose Confidential Information of the Disclosing Party to any third party, and

(iv) limit access to Confidential Information of the Disclosing Party to its employees, contractors and agents.

The Receiving Party may disclose Confidential Information of the Disclosing Party if required to do so under any federal, state, or local law, statute, rule or regulation, subpoena or legal process.

11. Intellectual Property

Affiliates may use CoreAIVideo’s trademarks, logos, and marketing materials only as provided by CoreAIVideo. Any unauthorized use may result in termination from the Affiliate Program.

12. Term and Termination

Either party may terminate this Agreement at any time, with or without cause, by providing written notice.

If this Agreement is terminated, the Affiliate will receive only those commissions that have been completed, verified, and matured as of the termination date (i.e., passed the 60-day holding period and cleared fraud checks), less any applicable refunds or chargebacks.

CoreAIVideo reserves the right to withhold unpaid commissions if an Affiliate engages in fraudulent or unethical behavior.

12.1 Termination for Breach:

If, in our sole discretion, you fail or we suspect that you have failed to comply with any term of this Agreement or the Terms of Service, or if you violate any applicable law in connection with your participation in the Affiliate Program, CoreAIVideo may terminate this Agreement or suspend your access to the Affiliate Program immediately and without prior notice.

12.2 Effects of Termination:

If this Agreement is terminated due to your breach, you immediately forfeit all commissions and any other payments owed to you or that may be owed in the future, without any further liability from CoreAIVideo.

This Agreement will automatically terminate if you earn no commissions for 12 consecutive months.

If this Agreement is terminated or canceled, any provisions that, by their nature, should survive termination will continue to apply, including but not limited to:

Indemnification

Confidentiality

Legal compliance

13. Indemnification

13.1 Affiliate Responsibility:

You will indemnify, defend, and hold CoreAIVideo harmless, at your expense, against any third-party claim, suit, action, or proceeding (each, an "Action") brought against CoreAIVideo (including its officers, directors, employees, agents, service providers, licensors, and affiliates) by a third party not affiliated with CoreAIVideo to the extent that such Action is based upon or arises out of:

Your participation in the Affiliate Program.

Our use of the prospect data you provided us.

Your noncompliance with or breach of this Agreement.

Your use of any affiliate tooling, including any third-party tooling.

Our use of your trademarks as authorized under this Agreement.

13.2 Affiliate Obligations:

CoreAIVideo will:

Notify you in writing within thirty (30) days of becoming aware of any such claim.

Give you sole control of the defense or settlement of such a claim.

Provide you (at your expense) with any and all information and assistance reasonably requested by you to handle the defense or settlement of the claim.

You shall not accept any settlement that:

Imposes an obligation on CoreAIVideo.

Requires CoreAIVideo to make an admission.

Imposes liability not covered by this indemnification or places restrictions on CoreAIVideo without our prior written consent.

14. Limitation of Liability

14.1 CoreAIVideo is not liable for indirect, incidental, or consequential damages unless required by mandatory legal provisions under the German Civil Code (BGB).

14.2 CoreAIVideo’s total aggregate liability for any claim under or related to this Agreement shall not exceed the total commission amounts actually paid or payable to the Affiliate during the twelve (12) months preceding the event giving rise to the claim.

14.3 Nothing in this Agreement limits liability for intent (Vorsatz), gross negligence (grobe Fahrlässigkeit), injury to life, body, or health, or any liability which cannot legally be limited under mandatory provisions of German law.

15. Legal Compliance

15.1 Affiliates must observe all laws, regulations, and legal requirements applicable to their activities in promoting CoreAIVideo, including those in their home jurisdiction and in Germany when relevant. This specifically includes, without limitation:

Data protection and privacy law (e.g. GDPR, BDSG)

Competition, advertising, and unfair business practice law (e.g. UWG)

Consumer protection, e-commerce rules, and rules on electronic communications (spam, unsolicited messages)

15.2 Affiliates must not engage in misleading or deceptive marketing, misrepresent features, pricing or results, or omit material information. All promotional materials must include clear disclosure of the affiliate relationship and comply with requirements of transparency and truthfulness.

15.3 Affiliates act as independent contractors and are solely responsible for their legal compliance, tax obligations, and business operations. This Agreement does not create an employment, agency, or partnership relationship between the Affiliate and CoreAIVideo.

15.4 If an Affiliate breaches any part of this clause, CoreAIVideo may suspend or terminate the Affiliate’s participation, withhold commissions, or take other remedial actions as appropriate.

16. Modifications

CoreAIVideo reserves the right to modify these Terms and Conditions at any time.

Affiliates will be notified of significant changes via email or the Affiliate dashboard.

Continued participation after modifications constitutes acceptance of the revised terms.

17. Governing Law & Jurisdiction

This Agreement shall be governed by and interpreted in accordance with the laws of Germany. Any disputes shall be resolved in the courts of Darmstadt, Germany.
